This is a legal document. By signing up for our Affiliate Program, you agree to what is written on this page.
 
1. As an Gorilla Nation Affiliate, Gorilla Nation will pay you referral fees (commissions) on product sales to third parties. For a product sale to qualify for a referral fee, the customer must come from your site to the Gorilla Nation Studio Store site using a code that uniquely identifies your site; purchase the product using our automated ordering system in that same session; accept delivery of the products at the shipping destination the customer supplies; make full payment to us, not return the products, and not dispute the charge with their bank or credit company. Gorilla Nation will not pay referral fees on products that are purchased by a customer who did not come to Gorilla Nation directly through the special link from your site, even if the customer previously followed a link from your site to our catalog.
 
2. We will pay you your referral fees approximately every two months (60 days) if the amount owed to you (our registered Affiliate) is at least $20.00 (in USA currency) or 6 months has passed since you were last paid.
 
3. All referral fees are paid by check to you from Celebrity Blvd.Com, LLC in United States of America currency.
 
4. You may use text or graphic images or both to link from your site to our Gorilla Nation Studio Store. If you use a graphic image for the link, you may use an image from our Gorilla Nation Images Collection. Gorilla Nation will assign you an identifying code to use to link to our site. Linking URLs from your site to Gorilla Nation must be formatted exactly as we direct, to include the specified code.
 
5. Gorilla Nation reserves the right to judge any site unsuitable to participate in our Affiliate Program, whether because of offensive material, bad site design, illegal activities, copyright violations or some other reason, and reserves the right to terminate or modify this agreement at any time in our sole discretion, by sending email notice to the most recent email address Gorilla Nation has on file for you.
 
6. An Gorilla Nation Affiliate may cancel participation in the program at any time by simply removing any links to our site and contacting us at affiliates@gorillanation.com.
 
7. Gorilla Nation may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this agreement, or from an Affiliate who operates web site(s) that are similar to your web site. Gorilla Nation reserves the right to change the amount of commission for any or all Affiliate, at any time, by giving e-mail notice to any participating Affiliate, of the new commission rate. Gorilla Nation reserves the right to refuse to accept any order from an Affiliate for any reason in our sole discretion.
 
8. You and Gorilla Nation are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement. You may not purchase products through the Program that you resell or attempt to resell.
 
9. Gorilla Nation will not be liable for direct or indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if Gorilla Nation has been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.
 
10. Gorilla Nation makes no express or implied warranties or representations with respect to the Affiliate Program or any products sold through the Affiliate Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, Gorilla Nation makes no representation that the operation of our site will be uninterrupted or error-free, and Gorilla Nation will not be liable for the consequences of any interruptions or errors.
 
11. Membership in the Gorilla Nation Affiliate Studio Store Program is specific and non-transferable. If there are any changes in the information you give us in your original application form, you must let us know by contacting affiliates@gorillanation.com immediately with the changed information. If your website content changes significantly, or your URL changes, you agree to inform us before you reinstall your links to Gorilla Nation.
 
12. Gorilla Nation requires tax information prior to sending any commission check to an Affiliate that would result in the Affiliate receiving more than $600.00 in any one tax year.
 
13. This Agreement will be governed by the laws of the United States and the State of California, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Los Angeles, California, and you irrevocably consent to the jurisdiction of such courts. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
 
14. If it is necessary to refer this matter to an attorney to enforce any provision of this Agreement, the loser agrees to pay the winner's reasonable attorney fees and costs, regardless of whether or not this matter actually goes to trial.
 
15. You acknowledge that you have read this Agreement and agree to all its terms and conditions. You have independently evaluated the desirability of participating in the program and are not relying on any representation, guarantee, or statement other than as set forth in this Agreement.
